    Terms of Use

    1. Agreement and scope

    These Terms of Use (“Terms”) are a binding agreement between you and the Sohaara contracting entity identified above (“Sohaara,” “we,” “us,” or “our”). They apply when you access or use any Sohaara website, mobile application, learning or readiness program, community or messaging feature, AI-powered service, event, tool, or other service that links to these Terms (together, the “Services”).

    By creating an account, purchasing a Service, clicking to accept, or otherwise using the Services, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Services. Additional terms may apply to a specific program, enterprise service, event, promotion, integration, or paid offering. If additional terms conflict with these Terms, the additional terms govern that specific offering.

    If you use the Services for an organization, you represent that you have authority to bind that organization. In that case, “you” includes the organization. A separate signed agreement between Sohaara and an enterprise customer controls over these Terms to the extent of a conflict.

    2. Eligibility and accounts

    2.1. Eligibility

    You must meet the minimum age of 18, and be legally able to enter into this agreement. Certain features, including buying, offering, or performing paid professional services, may require you to be at least 18 and to satisfy additional identity, credential, licensing, or eligibility requirements. The Services are not available to anyone prohibited from receiving them under applicable law.

    2.2. Account responsibilities

    • Provide accurate, current, and complete information and keep it updated.
    • Create only accounts you are authorized to create and do not impersonate another person or organization.
    • Protect your password, authentication method, and account access; do not share credentials or transfer your account.
    • Notify Sohaara promptly if you suspect unauthorized access, fraud, or misuse.
    • You are responsible for keeping your login credentials secure and for activity you authorize through your account. If you suspect unauthorized access, notify Sohaara promptly. We will not hold you responsible for unauthorized activity where applicable law prohibits it.

    We may request reasonable verification of identity, professional credentials, organizational authority, or eligibility. Verification reduces certain risks but is not an endorsement or guarantee of a person’s identity, qualifications, trustworthiness, or performance.

    3. The Services

    3.1. Readiness, learning, and professional development

    Sohaara may provide assessments, courses, coaching, practice sessions, projects, learning materials, readiness pathways, certificates of participation or completion, and other professional-development services. Content, instructors, schedules, admission criteria, deliverables, and outcomes may vary by program and destination.

    A Sohaara certificate confirms only what the applicable program description states. It is not an academic degree, professional license, government credential, employer certification, immigration approval, or guarantee that a third party will recognize the program.

    3.2. Professional network and community

    The Services may allow Members to create profiles, publish content, display work status or a showcase, join groups, message others, and connect with peers, experts, employers, clients, investors, mentors, partners, or other participants. Visibility depends on the feature and your settings. You are responsible for deciding what to share and with whom.

    3.3. Opportunities, matching, and introductions

    Sohaara may identify, rank, recommend, or facilitate access to jobs, clients, funding, events, tools, experts, partners, licenses, learning options, and other opportunities. Recommendations and introductions are based on available data and may be incomplete, outdated, unavailable, competitive, or unsuitable.

    Unless Sohaara expressly agrees otherwise in writing, Sohaara is not the employer, recruiter of record, staffing agency, investment adviser, broker, lender, licensing authority, immigration adviser, educational institution, healthcare provider, buyer, seller, or agent of users or third-party opportunity providers. Each provider makes its own decisions. You are responsible for evaluating an opportunity, counterparty, contract, credential, fee, deadline, eligibility rule, and risk before acting.

    3.4. Experts, coaches, and third-party providers

    Experts, coaches, mentors, instructors, recruiters, employers, investors, event organizers, vendors, and other providers may offer services or opportunities through or in connection with Sohaara. Some may be engaged by Sohaara; others act independently. The applicable listing, booking flow, or program terms should identify the relationship.

    Independent providers control and are responsible for their advice, representations, services, availability, pricing, licensing, and conduct. Sohaara may screen or review providers but does not guarantee their identity, credentials, quality, legality, suitability, or results. Users must exercise judgment and report suspected misconduct.

    3.5. Availability and changes

    We may add, change, limit, suspend, or discontinue features, content, geographic availability, usage limits, integrations, or Services. We do not promise that every feature will always be available or that content will be stored indefinitely.

    4. Soha and automated features

    Soha may answer questions, retrieve and summarize information, personalize guidance, identify readiness gaps, recommend opportunities or people, generate drafts, and help prepare actions. Future features may allow Soha to take an external action only after the user provides the authorization required by the feature.

    AI-generated or automated output may be inaccurate, incomplete, delayed, biased, misleading, outdated, or unsuitable. You must review output before relying on, publishing, sending, submitting, or acting on it. You remain responsible for your decisions, submissions, communications, and use of AI output.

    Soha does not provide legal, medical, financial, investment, immigration, licensing, or other regulated professional advice. It does not make final hiring, admission, funding, licensing, credit, immigration, or healthcare decisions. Do not use Soha as the sole basis for a consequential decision about yourself or another person.

    You may provide prompts, files, voice input, feedback, and other material only if you have the right to do so. Do not submit trade secrets, patient records, protected health information, confidential employer or client data, or another person’s sensitive information unless an expressly authorized secure workflow permits it.

    Use of data in connection with Soha is governed by the Privacy Policy. Sohaara will not use private Member content or private AI conversations to train a general-purpose AI model unless it provides clear notice and any choice required by law.

    5. Paid Services, subscriptions, and programs

    5.1. Prices and payment

    Prices, currencies, taxes, payment schedules, and included features are shown when you purchase. You authorize Sohaara and its payment provider to charge the selected payment method for disclosed amounts. You are responsible for accurate billing information and applicable taxes unless Sohaara is legally required to collect them.

    5.2. Recurring subscriptions

    If you purchase a recurring subscription, it renews at the interval and price disclosed at checkout until canceled. Before purchase, Sohaara will disclose the recurring nature of the charge and how to cancel. You may cancel through the available account or billing controls or another method stated at purchase. Cancellation stops future renewals but does not ordinarily refund the current billing period unless the offer, these Terms, or applicable law says otherwise.

    5.3. Program fees, cancellation, and refunds

    Program-specific terms should state the deposit, installment schedule, start date, seat reservation rules, deferral rights, cancellation deadline, refund conditions, consequences of nonpayment, and treatment of missed sessions. If no specific refund term is presented, Sohaara’s approved general refund policy will apply.

    5.4. Price and service changes

    We may change prices prospectively. A price change for a recurring subscription will take effect no earlier than the next renewal after legally required notice. We may substitute an expert, session time, curriculum component, or delivery method when reasonably necessary, while preserving the material value of a paid program or providing any remedy required by the applicable program terms or law.

    6. User content and intellectual property

    6.1. Your content

    You retain ownership of content you create and submit, including messages, profile materials, portfolios, assignments, audio, video, files, feedback, prompts, and other materials (“User Content”), subject to rights held by others and the license below.

    You grant Sohaara a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to host, store, reproduce, format, translate, adapt, display, distribute, and otherwise process User Content only as reasonably necessary to operate, secure, improve, and provide the Services; follow your visibility choices; respond to your requests; and comply with law. This license ends when the content is deleted from our active systems, except for reasonable backup periods, legal retention, content shared with others, and rights necessary to complete actions already authorized.

    You represent that you own or have the necessary rights to submit User Content and grant this license, and that your content and its use through the Services do not violate law, confidentiality duties, privacy, publicity, intellectual property, contractual rights, or other rights.

    6.2. Public content and sharing

    Public User Content may be viewed, copied, indexed, quoted, linked, reshared, or stored by others outside Sohaara. We cannot control copies made by others. Choose the audience carefully and do not publish information you do not want made public.

    6.3. Sohaara content and platform rights

    Sohaara owns the Services, software, interface, designs, databases, models, trademarks, branding, learning materials, and other content they provide, excluding User Content. Subject to these Terms, Sohaara grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. No rights are granted except those expressly stated.

    6.4. Feedback

    If you submit ideas, suggestions, or feedback about the Services, you permit Sohaara to use them without restriction or compensation, provided this does not give Sohaara ownership of your separate confidential materials or User Content.

    6.5. Copyright and rights complaints

    Sohaara may remove or restrict content alleged to violate intellectual property or other rights and may terminate repeat infringers where appropriate.

    7. Acceptable use

    You must use the Services lawfully, professionally, and in a way that respects other people and the integrity of the platform. You may not:

    • Provide false or misleading identity, credential, employment, education, portfolio, business, funding, availability, or opportunity information.
    • Harass, threaten, exploit, discriminate against, defame, stalk, or harm another person, or post hateful, sexual, violent, fraudulent, or otherwise unlawful content.
    • Send spam, deceptive promotions, pyramid schemes, fraudulent offers, or unsolicited bulk messages, or manipulate engagement, rankings, recommendations, reviews, or assessments.
    • Scrape, crawl, harvest, download, sell, broker, or compile profiles, messages, content, or personal data through unauthorized automated or manual means.
    • Use bots, scripts, browser extensions, agents, or other automation to access, message, post, connect, apply, or interact unless Sohaara expressly authorizes it.
    • Circumvent access controls, subscription restrictions, rate limits, privacy settings, safety systems, or technical protections.
    • Upload malware, probe vulnerabilities, interfere with the Services, overload infrastructure, reverse engineer non-open-source technology, or attempt unauthorized access.
    • Copy, record, distribute, resell, or create derivative commercial offerings from Sohaara courses, sessions, databases, or content without permission.
    • Disclose confidential, personal, proprietary, patient, employer, client, or third-party information without authority.
    • Infringe intellectual property, privacy, publicity, contractual, or other rights.
    • Use the Services to make prohibited discriminatory or solely automated consequential decisions about another person.
    • Misrepresent an affiliation with, endorsement by, certification from, or authority to act for Sohaara or another party.
    • Use opportunities, introductions, or contact information for fraud, exploitation, surveillance, unlawful recruitment, unauthorized solicitation, or purposes materially different from those disclosed.

    We may establish reasonable feature, messaging, connection, storage, or usage limits to protect users and the Services.

    8. Moderation, suspension, and termination

    We may review, restrict, remove, or preserve content; limit features; pause payments; cancel a booking; or suspend or terminate an account when we reasonably believe this is necessary to enforce these Terms, protect users or the Services, investigate misconduct, prevent fraud or harm, comply with law, or address material nonpayment. We may use automated systems and human review in enforcement.

    Where appropriate and legally required, we will provide notice and an opportunity to appeal. We may act without advance notice when delay could create risk, compromise an investigation, violate law, or cause harm. Reporting content does not guarantee removal or other action.

    You may close your account at any time, but amounts already owed remain payable. Ending an account does not automatically cancel a separate paid program, event registration, enterprise agreement, or provider contract unless its terms say so.

    Provisions concerning ownership, licenses already granted to shared content, payment obligations, disclaimers, liability, indemnity, disputes, and other terms that by their nature should survive, will remain effective after termination.

    9. Third-party services and interactions

    The Services may link to or integrate with payment processors, video platforms, credential providers, job sites, event organizers, AI providers, or other third parties. Their terms and privacy policies govern their services. Sohaara does not control and is not responsible for third-party content, products, services, security, availability, representations, contracts, or conduct.

    Any transaction, employment relationship, investment, engagement, purchase, service agreement, or other arrangement between users or with a third party is between those parties unless Sohaara signs a written agreement stating otherwise. Sohaara is not responsible for performing or enforcing their agreement.

    10. Disclaimers

    TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES, CONTENT, RECOMMENDATIONS, INTRODUCTIONS, AI OUTPUT, AND INFORMATION ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SOHAARA DOES NOT WARRANT THAT THEY WILL BE ACCURATE, COMPLETE, CURRENT, SECURE, UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR A PARTICULAR PURPOSE.

    TO THE FULLEST EXTENT PERMITTED BY LAW, SOHAARA DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, SO SOME OF THESE TERMS MAY NOT APPLY TO YOU.

    SOHAARA DOES NOT GUARANTEE EMPLOYMENT, PROMOTION, ADMISSION, CLIENTS, SALES, FUNDING, INVESTMENT, PARTNERSHIPS, CERTIFICATION, LICENSING, VISA OR IMMIGRATION APPROVAL, RELOCATION, COMPENSATION, BUSINESS PERFORMANCE, OR ANY OTHER OUTCOME. READINESS INDICATORS, MATCHES, WARM INTRODUCTIONS, AND CERTIFICATES ARE NOT GUARANTEES.

    11. Limitation of liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, SOHAARA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, BUSINESS, OPPORTUNITIES, GOODWILL, OR DATA; OR DAMAGES ARISING FROM THIRD-PARTY CONDUCT, USER CONTENT, OPPORTUNITIES, INTRODUCTIONS, AI OUTPUT, OR RELIANCE ON INFORMATION, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

    TO THE FULLEST EXTENT PERMITTED BY LAW, SOHAARA’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID SOHAARA FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS BEFORE THE EVENT; OR (B) US $100.

    These limitations do not apply where prohibited by law and do not exclude liability that cannot legally be limited, which may include liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or violation of mandatory consumer rights.

    12. Indemnification

    To the extent permitted by law, if you use the Services for business or professional purposes, you will defend, indemnify, and hold harmless Sohaara and its affiliates, officers, directors, employees, and contractors from third-party claims, damages, losses, liabilities, and reasonable legal fees arising from your User Content, your products or services, your breach of these Terms, your violation of law or another person’s rights, or your interactions and agreements with other users or third parties. This provision may not apply to individual consumers where prohibited by law.

    13. Privacy and communications

    The Privacy Policy explains how Sohaara collects, uses, shares, retains, and protects personal data. By using the Services, you acknowledge that processing described in the Privacy Policy. Where consent is legally required, Sohaara will request it separately.

    We may send service, security, transaction, program, and legal communications electronically. You may opt out of promotional communications, but not essential notices. You are responsible for keeping your contact details current. Electronic notices satisfy written-notice requirements where permitted by law.

    14. Export controls and international use

    You must comply with applicable trade, sanctions, anti-corruption, export-control, and import laws. You may not use the Services if doing so is prohibited by applicable law or if you are subject to restrictions that make the transaction unlawful. The Services may not be available or appropriate in every country, and you are responsible for local compliance when accessing them.

    15. Governing law and disputes

    The final Terms must identify the governing law, courts, and any informal dispute process. Sohaara should not add mandatory arbitration or a class-action waiver without a deliberate business decision and review of enforceability, cost, consumer disclosures, opt-out procedures, and international treatment.

    Nothing in these Terms deprives a consumer of mandatory protections or the right to bring a claim in a forum that applicable law requires. Before filing a claim, the parties may be required by the final Terms to send a written notice and attempt in good faith to resolve the dispute informally for a stated period.

    16. Changes to these Terms

    We may update these Terms as the Services, business, or law changes. We will post the revised Terms with a new effective date. If a change materially affects your rights or obligations, we will provide additional notice before it takes effect where required. Changes apply prospectively. If you do not agree to revised Terms, you must stop using the affected Services and may close your account.

    17. General terms

    • Entire agreement. These Terms, the Privacy Policy, applicable additional terms, and any signed agreement form the complete agreement for the Services they cover.
    • Order of precedence. A signed agreement controls over online terms for the same subject; specific offering terms control over these Terms for that offering.
    • Assignment. You may not transfer these Terms or your account without our consent. Sohaara may assign these Terms in connection with an affiliate restructuring, financing, merger, acquisition, or sale of the relevant business, subject to applicable law.
    • Severability. If a provision is unenforceable, it will be modified to the minimum extent needed or removed, and the remaining provisions will continue.
    • No waiver. A failure to enforce a provision is not a waiver of the right to enforce it later.
    • No third-party beneficiaries. These Terms do not create rights for anyone other than you and Sohaara, except where expressly stated.
    • Force majeure. Neither party is liable for delay or failure caused by events beyond reasonable control, except for payment obligations and rights that applicable law does not permit to be limited.
    • Language. Translations may be provided for convenience. The final Terms must identify which language controls, subject to mandatory local law.
